Consent to act as a Director of the Ontario 4-H Council

I hereby consent to be a Director of the Ontario 4-H Council, in accordance with the bylaws and policies of the Ontario 4-H Council and commit to maintaining confidentiality and conflict of interest at all times during my tenure and beyond as the Director of the Ontario 4-H Council.

As a Director:

  1. I understand as a director of the Ontario 4-H Council I have a legal and moral responsibility to ensure that the Ontario 4-H Council does the best work possible in pursuit of its goals and objectives. I believe in the purpose and the mission of the Ontario 4-H Council and 4-H Ontario, and I will act responsibly and prudently in my role as Director.
  2. I understand that as a Director of the Ontario 4-H Council I have a fiduciary duty or what is sometimes also known as a duty to act in good faith.
  3. I will communicate the Ontario 4-H Council’s work and values to the community.
  4. I will attend at least 75% of board meetings.
  5. I understand and agree that, except as may be required by law, during my tenure as an Ontario 4-H Council Director or at any time thereafter, any information reasonably related to the affairs of 4-H Ontario (including the Ontario 4-H Council, the Ontario 4-H Foundation and local 4-H Associations) received and/or accessed as a result of my being a Director of the Ontario 4-H Council is strictly confidential.
  6. I will not disclose any information received to any person or use it in any manner, without prior written consent of 4-H Ontario.
  7. I will act in the best interests of the Ontario 4-H Council, and excuse myself from discussions and votes where I have a conflict of interest.
  8. I will stay informed about what’s going on in the Ontario 4-H Council. I will ask questions and request information.
  9. I will participate in and take responsibility for making decisions on issues, policies, and other board matters.
    I will work in good faith with staff and other board directors as partners towards achievement of our goals and objectives.
  10. I will disclose, at all times, real, potential, or apparent conflicts of interest.
  11. If I don’t fulfill these commitments to the Ontario 4-H Council, I will expect the Ontario Council President or designate will discuss concerns with me.
  12. I understand that my failure to comply is in violation of the 4-H Canada Code of Conduct (B-CE- 12) and may result in dismissal as a Volunteer and Ontario 4-H Council Board of Director and/ or legal action by 4-H Ontario as per Policy B-B0-24.

Furthermore, I confirm that I am qualified to be a Director of the Ontario 4-H Council in accordance with the bylaws of the Ontario 4-H Council and, in particular, I confirm that following facts are true:

  1. I am 18 years of age or older;
  2. I have not been found by any court to be incapable of managing my own affairs;
  3. I am not an undischarged bankrupt; and
  4. I have not been convicted of an offence in connection with the promotion, formation or management of a corporation or unincorporated entity, or of an offence involving fraud.

I acknowledge that if I cease to be qualified in accordance with the bylaws of the Ontario 4-H Council that I will automatically be deemed to have resigned as a Director of the Ontario 4-H Council. In the event that deemed resignation is not effective in those circumstances, I undertake to immediately resign as a Director of the Ontario 4-H Council.

In turn, Ontario 4-H Council will be responsible to me in several ways:

  1. I will be sent, without request, quarterly financial reports and an update of Ontario 4-H Council activities that allow me to meet the “prudent person” section of the law.
  2. I will be offered opportunities to discuss with the 4-H Ontario Executive Director and President of the Ontario 4-H Council goals, activities, and status; additionally, I can request such opportunities.
  3. The Ontario 4-H Council will work with me to perform my duties by keeping me informed about issues in the industry and field in which we are working, and by offering me opportunities for professional development as a director.
    Directors, the Ontario 4-H Council, and 4-H Ontario Executive Director (or staff when appropriate) will respond in a straightforward fashion to questions I have that I feel are necessary to carry out my fiscal, legal and moral responsibilities to the Ontario 4-H Council. Directors, the Ontario 4-H Council, and 4-H Ontario staff will work in good faith with me towards achievement of our goals.
  4. If the Ontario 4-H Council does not fulfill its commitments to me, I can call on the Ontario 4-H Council President and 4-H Ontario Executive Director to discuss these responsibilities.
